Seef IPO

Are you going to get a piece of this:

Good luck if you are, I know that I will try to. I’m just a bit hesitant though when 30% of the Seef Mall (or is it Seef Properties in full) is actually owned by limited income families, bestowed upon them by his majesty the king to help elevate their financial capability a bit, and the last time they went to collect dividends they got pittance, but I guess the investment is in the actual shares rather than what they bring in every year. At least they will be able to trade their shares (I think) if they wish once the shares go up on the stock exchange.

What do you think the shares will be worth in 6 months time? A year? 5? Are you going to buy?

    I would be a bit hesitent to buy into this IPO.

    City Centre is coming on board in about a years time, and will definately be giving Seef Mall a very good run for its money.

    It really looks like the owners are trying to sell high before the new competition comes in.

    I looked into this IPO, but it seems as a foreigner I have to buy a minimum of 51,000 shares, which comes to around 6000+ BD. I would have been prepared to go to 3 or 4K, but 6K is a bit steep for me.

    As for the A’ali mall, it is very nice, but i don’t think I have ever seen more than 5 people in it at a time, how do the shops survive?

    In my opinion I would think that City Centre might not have a huge effect on the share itself knowing that the Seef Mall will STILL be one of the largest malls in the kingdom. Seef Properties also owns the mall in Isa Town, which is not comparable to Seef Mall, but is still a running project that the statistics say get around 10k visitors a week.

    If you’re Bahraini, its worth getting in, use the incentives they offer. Cheaper share prices and the financing part of the deal. 50% upfront and 50% the same time next year.

    My only concern on this IPO is that if the turn up to buy shares are high will mean less shares for each Bahraini. If they really wanted to redistribute wealth they would have blocked institutional offerings and made the offer 100% Retail so that the small investor can benefit and avoid the monsters eating them.

    Professional feedback will be highly appreciated, if available.

    When buying stocks, you have to look at the growth potential of the company. The mall has reached its max, i dnt think there are anymore expantion, other then maybe a hotel. Its not a growing company, its just a mall. I say its at max value right now. so SEEF IPO, not a good idea unless someone can tell me what their long term plan is.

    You don’t need to hesitate much Mahmood as you might run of time and you will find no shares to buy. I expect the issue of shares to be oversubscribed. Besides, presently all you need to have is less than BD 3000 to buy the maximum amount of shares allocated for a single individual. Also, I don’t think the City Centre project is going to negatively affect the Seef business. It is on the contrary, it will add to it. A successful business always makes the neighbourhood more successful. Al Aali Mall was a complete failure until the Seef Mall became existent. Remember that the price offered for individuals is discounted by around 12%. I expect that you would double your investment within a year.
    I don’t have this money right now, so if you are still hesitant, how about lending me some and I would invest it and return it to you with profit a year from now 😉

    I don’t want to sound too negatively, but I was wondering what the returns of the last few IPO’s for Bahraini companies have been.

    I know that Nass was promoted in a great deal of publicity also. It’s issue was at BD0.600 and it is trading at around BD0.250.

    Can anyone else shed some light on the success of recent IPO’s in Bahrain?

    BEWARE of this IPO tactic of selling you 100% more than you can afford. Yes you can pay %50 now and the remaining 1 year later but that only means that you are locked to the company and you can’t sell anything untill the full amount is paid. What if it did not turned out to be as good as it looks? I have relatives who lost 50% of their capital because of IPOs. Be extremely cautious. Don’t put money you can’t afford to loose. It’s a risky biz especially in the persian gulf.

    on the other hand, if you can pay the full amount and can sell your shares quickly as soon as you notice the first warning signs then your risk is far less. This is why the institutional purchase is much more better than the retail offering of this IPO.

    I have a bad feeling about this (I had the same feeling with Dana Gas stocks in Abu Dhabi and see how that turned out).

    I am going only 1100BD cash and selling at 20+% profit or as soon as the warning signs show up in BSE. Good luck to us (small investors) 🙂

    عليك في البداية النظر الى مدى ربحية الشركة والأهم من ذلك، قدرة الشركة على تطوير إنتاجيتها ومضاعفة أرباحها على مدى السنين القادمة
    ضع في الحسبان أن السهم سيتفاعل مع الأخبار المستقبلية للسهم

    السهم وحسب معلوماتي الأولية يعتمد على إيجارات المشاريع التي تنتدرج تحت عقارات السيف وهذا يعني بأن الأرباح المحققة ستكون ناتجة من أرباح التأجير

    هنا علينا أن نعرف ما هي مصادر ربح الشركة، هل هي أرباح تشغيلية (الإيجارات) أو أرباح غير تشغيلية (إستثمارات في بنوك أو مشاريع أخرى أو ودائع ثابتة)

    عموما كلتا الأرباح تمثل عوائد للشركة وبالتالي يجب على المكتتب النظر إلى القوائم المالية للشركة ومعرفة من أين تصل الأرباح وما مدى تطور وزيادة الأرباح على مدى (5 سنين) على الأقل أو النظر للخطط المستقبلية الخمسية والعشرية للشركة

    بالنسبة لسعر السهم فهناك ميزة للمواطنين وهي أن شرائه سيكون بمقدار أقل من شراء الأجنبي وهذا يعني إن عند طرحه سيتم تداوله أقل شيء بالسعر الذي إشتراه الأجنبي وذلك لأن الأجنبي لن يفكر ببيع السهم بأقل من السعر الذي إشتراه

    بالنسبة للسهم وهل هناك جدوى للإكتتاب و للإستثمار فيه وما هي المدى الزمنية لللإستثمار فيه؟
    جدوى الإكتتاب والإستثمار لفترة فصيرة: هذا يعتمد بصراحة على الوضع الحالي في بلد تداول السهم،يعني، يعتمد على السوق إذا السوق راكد وغير متحرك كسوقنا (البحرين) حاليا فالإكتتاب وبيع بعد ذلك ب 6 شهور لن يكون ذو فائدة لأن معظم الأسهم في البحرين إستثمارية ولا ترتفع إلى أسعار جنونية وتعتمد في الأساس على الأرباح
    بالإضافة إلى ذلك عليك متابعة هل السوق ككل في موجة نازلة أو موجة صاعدة، إن كان في موجة نازلة فالإستثمار القصير المدى حاليا غير مجدي ولكن إن كانت صاعدة فالإستثمار مجدي.

    جدوى الإستثمار: إذا كنت تفكر بجدوى الإستثمار الطويل المدى (5-20 سنة) في شركة تحصل على إيراداتها من العقار فعليك النظر الى سوق العقار في البحرين ولأنه في إرتفاع فأعلم أن ذلك يخدم الإستثمار في هذه الأسهم لفترات طويلة على ما قد تعطيه من أرباح سنوية أو نصف سنوية أو حتى قيمة السهم بعد 5-20 سنة

    البحرين ستكون مقبلة على طفرة لسوق الأسهم وعادة تبدأ طفرات الأسهم بإكتتابات ضخمة كإكتتاب بنك السلام وإثمار والآن السيف، ولكن لا أدري هل هذه بداية أو لا ولكن نصيحتي هي الإكتتاب إذا كان عندك أموال في حسابك لا تريدها في الوقت الحاضر وترك أموالك للإستثمار وكأنها وديعة ثابتة تحصل إزائها على أرباح في نهاية كل سنة

    لا تستخدم أموال أنت بحاجة إليها.

    عندك خياران للربح حاليا من هذا الإكتتاب:
    1- الإكتتاب وبيعه في أول أيام طرحه للسوق بأي سعر أعلى من سعر الإكتتاب
    2- الإكتتاب وتركه للإستثمار الطويل المدى

    للعلم أعنقد بأن الحد الأدنى للإكتتاب للمواطن هو 5000 سهم = 510 دينار بحريني فقط وليس 3 أو 5 آلاف

    There are very nice feedback here, specially from Costa-Guy. I think he has a point regarding the discounted rate that Bahrainis can buy and might atleast sell for 125 fils once it hits the market. Surely it will be oversubscribed but lets hope the worst case scenario is that atleast every citizen gets a good amount of shares that will get him a decent profit when selling them.

    Regarding Yousif’s comment about the installment way of the stock. Surely if it rises above the price you bought you can consider a loan from family or friend to be able to cover it and sell the share but in the case the share goes below 111 fils then you might be right on that issue.

    Also, this IPO is not only related to Seef Mall. Its a real estate company that owns Seef Mall, Isa Town Mall and the soon to be built hotel in the new extension of the Seef Mall, which means that they would be able to have future projects in the future, I’m talking long term here.

    I’m surely going to buy shares with that discount offer.

    Nass IPO was a day-light theft! I warned everyone of friends of that IPO!

    Millions of shares were issued to the Nass family members and their partners for 100 fils only while ordinary investers had to buy it for 600 fils. Nass family and partners (the gang) got the best of the saudi investers who didn’t know anything about the company and those poor guys paid 600 fils for a single share.

    Ofcourse when the company share hit the market, no matter the price was 600 fils or even 200 fils, the Nass Family and partners had like a 100%-600% profit for doing nothing.

    Wasn’t that a day-light theft???

You might be dreaming, the most active shares (Batelco / GFH / Tameer and sometimes BBK ) and thats it … BSE has nothing to do with news,, if some (Hammoor) guy sells some of his shares, the price goes down, if he demand other company the price goes up, totally no connection with companies performance, (supply and demand rule)

    I think a share at 100 fils is worth the risk! How bad can the company do? Unless they are that horrible and mean that they dont want anyone to benefit by not being successful at the beginning of the trading otherwise everyone is in a safe boat in my opinion.

    We’ll have to wait till sometime after June to find out. I think Seef IPO is worth it for the low price and added incentives. I’m going for 40k shares. I doubt I’ll get that but probably get the most out of it.

    If you post an offering memo / prospectus, and i’d be happy to analyze the security for you (realizing unfortunately that unlike many foreign markets, the middle east’s stock exchanges are influenced more by “irrational exuberance” than the company’s fundamentals).

    There are a number of formulae to arrive at a range of fair price for a given share. Then one just compares that to the offering price and decide which way to go. The range and formulae are too difficult to summarise or spellout in this forum. Volatility of the price is normally the major indicator and it is of two kinds, historic and futuristic. There is no historic data because this is an IPO share, but an indication of the expected (futuristic) volatility can be cleaned as being high – from the above comments. Reliability of any possible such estimates of volatility of this share is inherently low for obvious reasons. In other words, pricing is too involved for this space.
    My advice is against indulgin, based on the very poor standards of regulation and regulators, poor standards of accounting applied pre-IPO by the issuer and for many other considerations no to mention, including abundant precedents where the founders ripped off the incoming owners through the mechanism of inflated IPO price and too much misguided and ignorant demand undeterred by possible high cost. Banks welcome IPO’s because they can make riskless profits from ignorant investors. Government/Parliamnet should actually step in to put some controls to check possible abuses of bank financing of IPO’s.

    I might agree with the above but why will the government be willing to reduce the share prices for Bahrainis and put all those incentives in place such as the retail offering and institutional offering minimums and maximum if there is no benefit in the foreseen future of the stock? My comment might not be off any fundamental or technical analysis but I think for once the government might be “trying” to offer help for people who can afford it. Although I think there is a story behind the government selling of their part of the company claiming they want to be policy makers instead of sharing in the investment!

    I still think its a good stock to get involved in. Real Estate companies in the gulf are usually solid specially with growing economics in the nearby countries.

    NASS IPO as mentioned was really a day-light theft!
    Salam Bank IPO has increased 17.5% to-date since inception but the problem here was it was oversubscribed 63 times!

    Just a few thoughts:

    If London, Tokyo and NY are to be considered mature markets and Asia-Pacific the heart of emerging markets, then the Middle East is definitely one or more steps further down the pecking order.

    The cornerstone of efficient markets and hence fair valuation of any item to which we attach financial value and then trade is the existence of solid rules and regulations, something our young market is still developing and coping with.

    If anyone is really looking to ‘play the market’ as a day trader to make a quick buck, the level of risk, particularly in the markets in this part of the world, is extremely high, as mentioned in previous posts, God knows what level of insider trading and other under-the-table techniques exist, this really is a game for the filthy rich.

    For the rest of us, these investments should be undertaken for the long-haul, we could all take a page from Warren Buffet’s book and assume some basic ground rules – one of which is “assume you cannot sell for 100yrs”.

    To that end, although it could be argued that the Nass IPO was mispriced, in addition to the above mentioned inconsistencies, we have to consider everything else the company has been through, which will have had an effect (likely negative) on the share price.

    One fact remains though, Nass is a big player in this market, and is going to be around a long time, let’s wait and see what’s happened after 10, 20, 30, 50 years.

    Similarly, Seef Properties will be around for some time to come, speaking of which, the IPO is NOT for Seef Mall, but for Seef Properties, which I’m sure is involved in a few more real estate / infrastructure projects (like the Isa Town Mall already mentioned). Who knows, they might even get their act together and start looking at the huge traffic/parking problem and get into the car parks business, starting with their very own mall!

    In any case, for the short-term, quick buck investor, I think the old adage stands: garbage in = garbage out, unless you have the time to analyze this situation like a hawk yourself rather than rely on the info provided, your best bet is to stay away.

    For others, one possible annecdote is the Walmart story – I would find the link for you guys, but it’s all over the ‘net – start by looking as MSN Money, Joe Jubiak’s page if I remember correctly, go for a minimum investment to promote this country, and sit back for 30 yrs – sure we don’t all have the cash kicking around, but those of us who do and are willing to take on a little risk, who knows, you could be paving the way to financial freedom for your kids and their kids.

    I agree with Sid’s argument above. Many have tried day trading the middle east’s voaltile equity markets, only to get caught with their pants down. Investing should purely be done for the long haul by employing a buy and hold strategy. Making a quick buck, while always possible, is highly improbably (ala Nass, et. al). I would also be very cautious given the lack of accountability, insufficient barriers and oversight to prevent insider trading and insufficient financial disclosure of regional public companies.

    The fact that the government is allowing citizens to buy the shares at a discount, doesn’t mean the shares aren’t overvalued to begin with. Applying a discount to overvalued securities may still result in overvalued securities – the government would just be ripping you off less than the other investors.

    Further food for thought – with a property such as seef, you should take into consideration the value of the underlying real-estate (assuming the real-estate is owned and not leased). Factor that into your consideration as the company can always do a sale-leaseback and free up some cash to drive the business, pay out a dividend, etc.

    Do you know that the Nass share has one of the highest P/E ratios right now?

    As for seef… its not a greenfeild project.. its real estate with the tenants there. For a stable return, you can rest assured that the seef share will not be volatile at all. These types of shares (infrastructure, utilities, power, real estate) have a low beta correlation with the market since demand for these services is steady. Unlike IT for example.

    On the other hand, the dividend track record for seef isnt that great when the market was red hot.

    So are you people recommending we buy into this share if we had the capital and are willing to let it sit for say 2-3 years? I’m thinking of buying my family members shares too. Somewhere on the lines of 5000 shares each for 5 people that I will later convert to my name. I dont mind if the yearly dividend is not that high but my only concern is will, in 3 years time, I be able to make some good cash out of this investment?

    Very interesting comments! Most interesting actually is: “Don’t put money you can’t afford to lose”
    This is very basic and must be heeded.

    Seef properties has existed for some time. The only successful project they hold is Seef Mall. How much that represents in their portfolio, I do not know.

    Basically, bidding for the IPO should represent (some or all):

    -Belief that real estate prices will continue their run

    -Confidence in the performance of management of this company

    -Interest in a “quick” profit (nothing wrong with that.. in fact this is what provides most of the liquidity in an IPO).

    -Belief that the management was, is and will continue to be transparent in the information they provide.

    The gentleman who posted in Arabic gave some very relevant pointers, and I don’t wish this posting to be some dissertation. Just read each one of the items above, and if you believe in some or all of them you’re all set. Next is deciding how much. Here I refer to Yousif’s comment again. Nothing in this has any relationship with a “sure thing” – Even with the discount.

    So never risk more than what is trivial (or at least affordable).

    وأبلغ مصرفي يتابع الاكتتاب وهو الأول من نوعه في البحرين «كان الإقبال جيدا على الاكتتاب خاصة من قبل الشباب إذ اصطف الناس أمام فرع البنك في المحرق حتى قبل أن تفتتح المصارف أبوابها للجمهور وكانت الصورة مشابهة لها في الرفاع».

    وفي الفرع الرئيسي لبنك البحرين والكويت في العاصمة (المنامة) وقف محمد وهو في العقد الخامس ينتظر دوره في إنهاء معاملته ووصف الاكتتاب في حديث مع «الوسط» بأنه فرصة جيدة لصغار المستثمرين من البحرينيين. وأضاف بلهجة تحد يقول: «لماذا نترك الأسهم تقع في أيدي الكبار الذين يعدون بأصابع اليد؟». أما في الجانب الآخر فقد ذكرت زوجة جديدة وهي فهيمة حسن انها رغبت في المشاركة في الاكتتاب في أسهم «السيف» لثقتها بأن هذه الأسهم هي وسيلة للتوفير الجيد. وأضافت «قمت بشراء 20 ألف سهم من (عقارات السيف) وسددت قيمتها من الصداق الذي حصلت عليه قبل ثلاثة أسابيع». كما يعتزم بعض البحرينيين اللجوء إلى الاقتراض من بعض المصارف لشراء أسهم الشركة. وقال أحدهم: «بالرغم من الفوائد فإني سأقوم بالاقتراض لتملك أسهم في (السيف)».

    ويُعرف «السيف» بأنه أحد أفخم وأكبر المحلات التجارية في البحرين، التي تعج ليلا ونهارا بالمواطنين والزوار وخصوصا من دول الخليج العربية.

    أحد وسطاء الأسهم ذكر أنه يعتقد أن الإقبال على أسهم «عقارات السيف» سيكون كبيرا بسبب التسهيلات التي قدمتها الحكومة إلى البحرينيين ولأن مجمع السيف كذلك «شركة ناجحة ولديها أصول كبيرة ويتوقع أن ترتفع أسعار أسهمها بعد اكتمال الاكتتاب». وأضاف «الوضع المالي للسيف ممتاز. في السابق باعت الحكومة أسهمها في إحدى الشركات بسعر مرتفع ولكن سعر (السيف) جد ممتاز».

    وكان مسئولون يتابعون طرح الحكومة لأسهم «عقارات السيف» عن توقعهم إقبالا كثيفا من قبل البحرينيين من الطبقة المتوسطة وخصوصا انه الطرح الأول من قبل الحكومة إلى الأفراد بوصفه جزءا من برنامج تخصيص طموح يتم تنفيذه في المملكة ويهدف إلى مشاركة القطاع الخاص في التنمية الاقتصادية.

    رئيس مجلس الإدارة عبدالرحمن فخرو ذكر أنه يعتقد أن الاكتتاب العام لـ «عقارات السيف» سيكون ناجحا وأن الإقبال عليه سيكون ممتازا نظرا إلى أن السعر المطروح معقول جدا وأن وزارة المالية قصدت من ذلك تشجيع الناس على المشاركة في الاكتتاب وهو الأول الذي يطرح للأشخاص من قبل الحكومة.

    كما أعرب المدير الإداري في الشركة الاستشارية ري إيغولنغتون عن أمله في أن يشهد الاكتتاب إقبالا كبيرا من قبل البحرينيين وخصوصا أن قيمة السهم منخفضة بنسبة 12 في المئة عن الأسهم التي يمكن أن يكتتب فيها الأجانب والشركات الاستثمارية وأن قيمة الأسهم تدفع على قسطين خلال عام.

    ويأتي طرح الأسهم في آخر سلسلة من الطروحات الأولية لأسهم شركات ومصارف تعمل في البحرين والمنطقة في ظل ازدهار اقتصادي تعيشه دول الخليج العربية والناتج من صعود أسعار النفط إلى مستويات قياسية في الأسواق الدولية؛ ما ساهم في تغطيات كثيفة للأسهم المطروحة. وطرحت الحكومة 222.9 مليون سهم تملكها في «عقارات السيف» للاكتتاب العام في 26 أبريل/ نيسان الحالي مدة أسبوعين في خطوة رئيسية تهدف إلى إشراك البحرينيين في برامج الحكومة لتخصيص ملكيتها في الشركات لتحفيز الاقتصاد الوطني وخلق مشاركة فاعلة. ويستمر الاكتتاب حتى 10 مايو/ أيار المقبل وسيتاح للمستثمرين من الأفراد والمؤسسات ولكن الحكومة عرضت حوافز للأفراد البحرينيين إذ تقل أسعار الأسهم بنسبة 12 في المئة عن السعر المتاح للمؤسسات والأجانب وكذلك إمكان تسديد قيمة الأسهم على دفعتين تبلغ الأولى 50 في المئة وتدفع عند شراء الأسهم والثانية وتبلغ 50 في المئة كذلك بعد 12 شهرا من الاكتتاب. ويبلغ الحد الأدنى للاكتتاب بالنسبة إلى المواطنين البحرينيين خمسة آلاف سهم قيمة السهم الواحد 110 فلوس. بينما الحد الأعلى للاكتتاب 50 ألف سهم. أما بالنسبة إلى المؤسسات والمستثمرين الأجانب فإن سعر السهم يبلغ 125 فَلسا. وسيتم تسجيل الأسهم في سوق البحرين للأوراق المالية فور الانتهاء من عملية الاكتتاب. وتقبل طلبات شراء الأسهم في كل من بنك البحرين والكويت وبنك البحرين الإسلامي. وتدير شركة عقارات السيف – التي تبلغ موجوداتها 74 مليون دينار ويعمل فيها نحو 1800 موظف – معظم مجمعات التسوق في البحرين من ضمنها مجمع السيف ومجمع مدينة عيسى. كما تمتلك الشركة محالَّ تجارية ومنافذ للترفيه والتجزئة.

    ويعتبر مجمع السيف التابع إلى الشركة واحد من أفضل مجمعات التسوق في المملكة ويستقطب آلاف الزوار يوميا وخصوصا بالنسبة إلى الزوار القادمين من الدول العربية المجاورة بسبب أنه يقع خارج العاصمة (المنامة) التي تكتظ بآلاف السيارات الداخلة والخارجة وخصوصا في أوقات الذروة.

    I did a little search on google and came up with this “http://sico-bahrain.com/news/seefresults.html” but it does not show the allotment but just says the subscription values. I dont know what happened yet but am waiting for news.

    Today, when I told my uncle that 100% was allotted to the individual investors, he was not happy. He off course has bought shares, but expected the IPO to be oversubscribed. The Retail side of the offering was oversubscribed by 3% only, which was covered by the company, allowing them to give individual investors ALL what they subscribed for. The institutional investors and foreign individuals were allotted about 24% only of their subscriptions.

    Now, my uncle was not happy about the full allotment, because he thought there will be no demand on the stock when it gets listed. After all, every body got what they want at the IPO!

    He forgot, however, the institutional investors who only got 25% of their subscriptions. I hope that the demand by institutional investors will cause the share to rise in the first weeks of trading, so we can make few bucks out of this (عن خاطرنا)…

    Just to let you know, when the company went public private placements were sold for 500 fils and 600 fils, they were not sold for 100 fils i can bet my life on that. So get your facts straight before being a smart ass

    I thought to thank you guys for the recommendation of buying into Seef shares. I was reading your blog and went ahead and bought the maxim allocation for Retail. Now the share price is 0.179 and I made a bit over 60% in 3 months! I am very tempted to sell. However, I will hold on to my investment a bit longer and see where it goes from here. 😆

    I like the way this stock has gone. I’ve also made quite a bit of money with this but I was wondering does anyone know if they give dividends or cash bonuses? If so, when?

    Also, for those in for the long run do you guys think that a selloff will happen in April and share price will be dragged down due to a lot of people selling instead of paying their second loan of the shares?
